Terms & Conditions

Effective 24 September 2026

1Agreement to these Terms

Welcome to ryanking.live and maximizepartners.com, and every subdomain of either one, including app.ryanking.live (together, the "Website"), operated by Maximize LLC, doing business as Maximize Partners ("Maximize," "we," "us," or "our").

These Terms & Conditions (the "Agreement," "Terms," or "Terms of Use") govern your use of the Website, our digital products, coaching programs, memberships, workshops, online courses, and all related services (together, the "Services").

By accessing or using the Website or the Services, you agree to be bound by these Terms, by our Privacy Policy, and by any additional program-specific terms presented to you at purchase.

If you do not agree, do not use the Website or the Services.

These Terms form a legally binding contract between you and Maximize LLC. By using the Website or Services, you acknowledge acceptance of this electronic Agreement and consent to all notices being provided electronically.

Effective date: 24 September 2026. This version replaces every earlier version of our Terms & Conditions, including any version published at a different address on our Website.

2Eligibility

You must be at least eighteen years old to access the Website or purchase the Services. By using the Services you represent that you have the authority to enter into this Agreement.

If you are using the Services on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.

3Your account

Signing in uses a one-time link sent to your email address. There is no password.

You are responsible for the security of the email account you use to sign in, and for anything done through your account. Do not let anyone else use your account or your sign-in link. Tell us at hello@maximizepartners.com if you believe someone else has access to your account.

4Acceptable use

You agree that you will not:

  • Copy or distribute any Website content without our express permission;
  • Modify or create derivative works based on our materials, except as § 6.2 permits;
  • Scrape, mine, or reproduce Website content by automated means;
  • Share or distribute proprietary training materials, except as § 6.2 permits;
  • Misrepresent yourself or impersonate another person;
  • Attempt to access another user's account;
  • Use bots, scripts, or automation tools against the Website;
  • Upload or transmit harmful or malicious content;
  • Post or share illegal, defamatory, or offensive material;
  • Interfere with Website functionality or security;
  • Violate the intellectual property rights of Maximize or of any third party;
  • Use the Services in any unlawful or misleading manner.

We reserve the right to investigate and to take legal action for unauthorized use. Violation of these obligations may result in immediate termination of access.

5Coaching, education, and non-therapy disclaimer

Maximize provides educational, coaching, and leadership development services.

We are not medical professionals, mental health providers, legal advisors, tax advisors, financial planners, or therapists.

Nothing provided by Maximize should be interpreted as medical, psychological, legal, therapeutic, or financial advice.

By participating in coaching or training programs, you acknowledge:

  • Results are not guaranteed
  • You are responsible for your own decisions, actions, and outcomes
  • Coaching is not a substitute for therapy or professional advice
  • You will seek qualified professionals as needed

6Intellectual property, and what your license lets you do

6.1 What we own. All content provided by Maximize, including but not limited to courses, worksheets, templates, PDFs, frameworks, slides, and curriculum; coaching tools (including Clarity First, Strengths Trail, HITA, Unlock Your Edge, and others); and videos, audio recordings, logos, trademarks, and written content, is the exclusive property of Maximize LLC and is protected by U.S. and international copyright laws.

When you buy one of our programs, you are buying a license to use the materials. You are not buying ownership of them. You receive a limited, non-transferable, non-exclusive, revocable license to use the materials for your own personal or internal business use, for the duration stated at purchase. The full terms of that license are §§ 6.2 and 6.3 below.

6.2 What you may do, and this is the point of the programs.

You are meant to use what you learn with the team you actually lead. That is what you bought, and nothing in these Terms restricts it. Specifically, you may:

  • Run an exercise, discussion, or framework from a program with the people on the team you lead;
  • Give a worksheet, handout, or template from a program to the members of your own team, for use in that work;
  • Adapt an exercise to fit your own team, and build the ideas into how you run your own organization;
  • Talk about what you learned, teach it in your own words, and coach your own people with it.

This is what "internal business use" means, and it is deliberately broad. Your team members do not need a separate license from us for you to do any of this.

6.3 What you may not do.

  • Share, sell, license, publish, reproduce, or redistribute the materials, in whole or in part, to anyone outside your own organization;
  • Use the materials to deliver training, coaching, consulting, or facilitation to third parties, or as part of any product or service you sell, unless we have licensed you to do so in writing;
  • Remove, obscure, or alter any copyright, trademark, or other proprietary notice;
  • Create derivative works based on the content for distribution outside your own organization; or
  • Post the materials anywhere publicly accessible, or in any shared repository outside your own organization.

Unauthorized use may result in legal action.

6.4 Client-facing materials. Certain programs (such as High Impact Teams) may include templates or resources designed for use with your own clients. Those may only be used as permitted in the specific licensing terms for that program, which we will give you in writing.

7Program access and digital products

7.1 You are buying a license. When you "buy" or "purchase" one of our digital programs, what you receive is a license to access the material, on the terms in § 6 and for the duration stated at purchase. The full license terms are § 6 of this document.

7.2 Duration, and what "lifetime access" means. Access is granted for the duration stated at purchase.

Where a program is offered with lifetime access, here is exactly what that means, because it is worth being clear about rather than leaving you to guess:

  • "Lifetime" refers to the lifetime of the program, not the lifetime of the purchaser. Your access lasts as long as we continue to offer that program.
  • If we retire a program, access to it ends. Programs are not kept online indefinitely. We will give you reasonable notice before access to a retired program ends.
  • If Maximize ceases operating, access ends with it. We have no obligation to continue hosting, serving, or maintaining a program, or to arrange for anyone else to do so, beyond the point at which the business stops.
  • We may offer you something comparable, and we are not obliged to. If we retire a program and have a comparable one available, we may offer it to you. That is our choice at the time, not a commitment made here.

Lifetime access is not a promise of permanence. It is a promise that we will not put a clock on your access for as long as the program exists.

7.3 Delivery. Access is delivered electronically, through the Website, to the email address you gave us at checkout.

7.4 What you may do with what you receive is governed by § 6, however you receive it.

8Purchases, billing, and payments

By purchasing any Service, you agree to pay all fees in effect at the time of purchase.

8.1 Payment authorization. You authorize Maximize to charge your payment method for all purchased Services, including recurring payments if applicable.

8.2 Installment plans. By selecting an installment plan, you agree to complete all payments. Installment plans cannot be canceled once initiated.

An installment plan is a way of paying a fixed total price over time. It is not a subscription, it does not renew, and no amount is charged beyond the fixed total price you agreed to at purchase.

8.3 Monthly plans. Where a program is offered on a monthly plan, the price, the renewal terms, and how to cancel are disclosed to you at checkout, before you pay. Here is what a monthly plan is, in full.

  • It continues until you cancel it. There is no fixed number of payments and no end date.
  • You are charged once a month, on the same day of the month as your first payment, at the price shown at checkout. We will tell you before that price ever changes, and you can cancel before the change takes effect.
  • Your first payment is the one the checkout page named. Usually that is the day you buy. Where the checkout page names a later date, that date is when the first payment is taken, and nothing is charged before it.
  • You cancel in one click, inside the app, at any time. No form, no email, and nothing to ask us for first.
  • When you cancel, the next payment does not happen. Your access stays open to the end of the month you already paid for. We do not prorate a part month. See § 9 for refunds.
  • Once a year we will email you a reminder that the plan is running, what it costs, and how to cancel.

A monthly plan is not an installment plan, and § 8.2 above is about installment plans only.

8.4 Billing information. You must provide accurate billing information and update it as needed.

8.5 Chargebacks. You agree not to dispute charges without first contacting us to resolve concerns. Unauthorized chargebacks may result in:

  • Termination of access
  • Liability for chargeback fees, legal fees, and collection costs

9Refunds

Refund terms are different for each program. There is no single refund policy. The refund terms for the program you purchased are set out in the table below, and were also shown to you at checkout before you paid.

ProgramRefund term
Clarity FirstFull refund available within ten (10) days of purchase. Send one email to hello@maximizepartners.com. No conditions. No questions asked. You do not need to explain, and it does not matter how much of the program you have already used.
Unlock Your EdgeAll sales are final. No refunds. This is disclosed at checkout, before payment.
High Impact TeamsNo refunds after enrollment is confirmed. If your application is not accepted, you are not charged.
Any program billed monthlyNo refunds. Cancel at any time and the next payment does not happen. Your access runs to the end of the month you already paid for, and a part month is not prorated.
Any other program or productAll sales are final. No refunds. As with Unlock Your Edge, this is stated on that program's checkout page, before you pay.

(a) Which terms govern. If the refund terms shown on the checkout page for a program at the time of your purchase differ from the table above, the terms shown at checkout at the time of your purchase govern. If the checkout page for a program was silent as to refunds, the table above governs.

(b) Nothing else in these Terms changes this. No other statement in these Terms limits, qualifies, conditions, or modifies the refund terms for any program. If any other provision appears to do so, this section governs.

(c) How to request one. Email hello@maximizepartners.com and say which program you bought. That is the whole process. There is no form, no exit interview, and no approval step for a program whose term gives you a refund.

(d) How it is paid. We refund to the original payment method. How long the money takes to appear on your statement is controlled by your bank or card issuer, not by us.

(e) Removal from the community. If we remove you from a community or group program under § 10.6, that removal does not by itself create a refund right beyond the terms in the table above. Your access to any course material you purchased continues for the duration you paid for.

(f) Chargebacks are not refund requests. Asking your bank or card issuer to reverse a charge is not a refund request under this section, and it does not start the process in (c). See § 8.5.

(g) If a program is retired or discontinued. § 7.2 governs what happens to your access. Retiring or discontinuing a program does not create a refund right beyond the terms in the table above.

10The community, and content you post

10.1 You own what you write. You keep ownership of the posts, comments, replies, and other content you create in our community and inside the Services ("Member Content"). We do not claim ownership of it.

10.2 The license you give us, and its limits. You grant Maximize a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, and distribute your Member Content for the purpose of operating, maintaining, and providing the Services. That is what makes it lawful for us to put your post on a screen in front of another member. § 10.3 is the only other use we make of it.

10.3 Recordings, marketing, and testimonials. Our live group calls and individual coaching sessions are recorded, and by joining one you agree to that. You also give Maximize a nonexclusive, worldwide, royalty free, perpetual license to use the following in our own content and marketing, such as clips, social media, email, the podcast, the Website, advertising, and course material:

  • recordings of group calls and individual coaching sessions, including your image, your voice, your words, and the name you joined under;
  • screen shares and screenshots of the Services or of a call that show your name, your photo, or your image;
  • your Member Content, and anything you say on a call or session or write to us in an email or message, including as a quote or a testimonial, with your name.

You will not be paid for this. When we quote you, we will use your own words, or a fair shortening of them, and we will not change what you meant. This section does not reach your applications, your assessment and quiz answers, your private lesson notes, or your conversations with the AI Coach. If you would rather not appear in anything we make, email hello@maximizepartners.com, and we will leave you out of anything we make after that.

10.4 What you promise about what you post. You represent that you own or have the right to post your Member Content, and that it is not infringing, defamatory, unlawful, or confidential to someone else.

10.5 What is not allowed. In addition to § 4: no harassment or personal attacks; no publishing another person's private information; no recruiting, soliciting, or selling to other members; no sharing outside the community what another member disclosed inside it; no recording a session unless we have explicitly permitted it.

10.6 Moderation. We may, but have no obligation to, monitor, review, screen, edit, or remove any content, at our sole discretion, with or without notice, for any reason or no reason. We may remove content or suspend or terminate access to the community at any time. See § 9(e) for what happens to your purchased course access if we do.

10.7 Group confidentiality. In group coaching programs, workshops, forums, and discussion spaces you agree to maintain respectful, professional communication; not to share confidential information about other participants; and not to record sessions unless explicitly permitted. We cannot control how other participants use information you disclose in a group setting, and you should decide what to share with that in mind.

10.8 Certificates. A certificate issued by Maximize evidences completion of our program and nothing more. It is not a professional credential, an accreditation, a license, or continuing-education credit, and it should not be presented as one.

11Copyright complaints

If you believe something posted on the Website infringes your copyright, email us at hello@maximizepartners.com and we will remove it.

12Text messages

We do not require a phone number anywhere, and no form on our Website asks for one.

If you opt in to receive text messages from us, the following terms apply to that program.

  • Program description. You would receive notifications, appointment reminders, and occasional marketing messages, and only because you opted in.
  • Message frequency. Message frequency varies based on your preferences and your interactions with Maximize Partners.
  • Cost. Message and data rates may apply. For questions about your text or data plan, contact your wireless provider.
  • Opting out. You can cancel at any time by texting STOP to the number the messages came from. After sending STOP you will receive a final confirmation message and will no longer receive messages from Maximize Partners. To rejoin, sign up again the same way you did initially.
  • Help. Reply HELP to any message, or email us at hello@maximizepartners.com.
  • Carrier liability. Carriers are not liable for delayed or undelivered messages.
  • Privacy. Mobile information and consent will not be shared with third parties or affiliates for marketing or promotional purposes. For full details on how we handle your data, please review our Privacy Policy: https://ryanking.live/privacy

Opting in to text messages is never a condition of buying anything, and consent to receive them is never bundled into your acceptance of these Terms.

13Privacy

Use of the Website is also governed by our Privacy Policy. By using the Website, you consent to the processing of your personal data in the United States.

14Modifications to Services

To the fullest extent permitted by law, Maximize may update, modify, or discontinue any Service at any time, and we are not liable for any modifications, suspensions, or discontinuations.

If a program you have purchased is retired or discontinued, § 7.2 explains what happens to your access.

15Limitation of Liability

To the fullest extent permitted by law:

  • Maximize is not liable for indirect, incidental, special, punitive, or consequential damages
  • Maximum liability for any claim shall not exceed the total amount you paid in the prior six months
  • Services are provided "as is" and without warranties of any kind

You agree that your use of the Website and Services is at your sole risk.

16Indemnification

You agree to indemnify and hold harmless Maximize LLC, its owners, employees, contractors, and affiliates from any claims, damages, losses, or expenses arising out of:

  • Your use of the Website or Services
  • Your breach of these Terms
  • Violation of intellectual property rights
  • Misuse of program materials

17Confidentiality

Maximize respects your privacy. However:

  • Group settings naturally limit confidentiality
  • We may disclose information if required by law
  • We may use de-identified data for research, marketing, or program improvement

Nothing in this section overrides § 10.3.

18Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Indiana, without regard to conflict of law provisions.

Any disputes will be resolved through binding arbitration, conducted on an individual basis (no class actions), pursuant to the rules of the American Arbitration Association.

Judgment on the arbitration award may be entered in any court of competent jurisdiction.

19Severability & Waiver

If any provision of this Agreement is deemed invalid, the remainder will continue in full force.

Failure to enforce a provision does not constitute a waiver of future enforcement.

20Entire Agreement, changes, and contact

20.1 Entire agreement. These Terms constitute the entire agreement between you and Maximize LLC regarding use of the Website and Services.

20.2 Changes. This Agreement is subject to change at any time. When we change it, we will update the effective date at the top and at the foot of this page. If a change is material, we will also email members and purchasers. Continued use following posted updates constitutes acceptance of the revised Terms. We keep the previous version and will send it to you on request.
